Terms of service.

The rules that govern your use of letschatmarketing.com and the services Let's Chat provides. Written in plain language. Read it; we mean it.

1. Who you are agreeing with

These Terms of Service ("Terms") are an agreement between you and Let's Chat Marketing, a sole proprietorship operated by David Russell in Florida, United States ("Let's Chat," "we," "us"). You can reach us at david@letschatmarketing.com. By using this website or engaging Let's Chat for services, you agree to these Terms. If you do not agree, please do not use the site or buy our services.

2. What Let's Chat does

Let's Chat is a small studio that builds websites, AI voice receptionists, booking integrations, review-request systems, and related marketing infrastructure for service businesses (currently with a focus on dental practices). We sell these as productized monthly subscriptions and as custom consulting engagements.

The specific scope, deliverables, fees, and timeline for a paid engagement will be described in a separate proposal, statement of work, or order form ("Order"). If anything in these Terms conflicts with a signed Order, the Order controls for that engagement.

3. Using the website

You may browse letschatmarketing.com, submit forms (audit requests, contact, intake), and book calls through it. In exchange, you agree:

  • Not to use the site for any unlawful purpose.
  • Not to scrape, mirror, or republish the site or its content without written permission.
  • Not to interfere with, probe, or attempt to disrupt the site's operation.
  • Not to submit false information through our forms or impersonate someone else.
  • Not to attempt to reverse-engineer or extract the AI prompts, system instructions, or proprietary configurations that power our demo pages or AI receptionists.

4. Paid services and orders

4.1 Fees

Our published pricing (for example, the founding-cohort, solo-practice, and multi-provider tiers shown on /smile) is offered subject to availability and the Order you sign. All fees are stated in US dollars. You authorize us to charge the payment method on file for recurring subscription fees on the cadence stated in your Order (monthly or annual prepay).

4.2 Subscription term and renewal

Unless your Order says otherwise, monthly subscriptions renew month to month. Annual-prepay plans renew annually on the anniversary of the first invoice unless either side gives at least 30 days' written notice of non-renewal before the renewal date.

4.3 Cancellation

You may cancel a monthly subscription at any time by emailing david@letschatmarketing.com. Cancellation takes effect at the end of the current billing period; we do not pro-rate partial months.

For annual-prepay plans, you may cancel at any time, but prepaid annual fees are non-refundable once the engagement has begun, except where law requires otherwise or where we have not yet delivered material work. We will continue to honor the service for the remainder of the prepaid term.

4.4 Founding-cohort terms

The "founding cohort" pricing offered for the first three dental customers is grandfathered for the life of the engagement, subject to: (a) annual prepay each year, (b) the customer remaining current on payment, and (c) the customer providing reasonable cooperation on a public case study describing the work. If any of those conditions are not met, the rate may convert to the then-current standard rate at the next renewal.

4.5 Late payment

Invoices are due on receipt unless your Order says otherwise. Payments more than 15 days past due may, at our option, suspend the service until the balance is cleared. We will warn you before suspending.

5. Intellectual property

5.1 Our materials

The site, our brand assets (Let's Chat wordmark, Let's Smile / Let's Counsel / Let's Glow / Let's Fix product marks), templates, demo pages, and the AI prompt configurations behind our receptionists are owned by Let's Chat. We grant you a limited, non-exclusive, non-transferable license to use the deliverables we build for you, as part of the active paid engagement, on the domain(s) and business(es) the Order names.

5.2 Your content

Anything you provide to us — logos, copy, photography, patient testimonials, business information — stays yours. You grant us the rights we need to use that content to deliver the service (host it on your behalf, display it on your site, feed it to the AI receptionist that answers calls for your business, and reference it in case studies if you have given us permission per Section 4.4 or a separate release).

5.3 Case studies and public reference

Unless you tell us otherwise in writing, we may identify you publicly as a customer and describe the work we did in general terms (case studies, screenshots, talking points). We will not disclose information you mark confidential. Founding-cohort customers explicitly agree to a public case study.

6. AI voice receptionist — calling, consent, and compliance

Some of our services involve placing or receiving phone calls and SMS messages on your behalf through a third-party telephony provider (currently Twilio). This section is important.

  • You are the calling party. When Let's Chat or our AI receptionist places outbound calls or messages from a number registered to your business, you are legally the calling party under US telecommunications and consumer-protection law. We act as your service provider.
  • Consent is your responsibility. You represent and warrant that you have obtained any required consent (express, prior, written, or otherwise) from the recipients of outbound calls or messages, in compliance with the Telephone Consumer Protection Act (TCPA), state mini-TCPA statutes, the CAN-SPAM Act, and any other applicable law. You are responsible for honoring opt-out and Do-Not-Call requests within the timeframes required by law.
  • No prohibited content. You will not use the service to send or place calls related to anything prohibited by our telephony provider's acceptable-use policy — for example, hate speech, harassment, fraud, illegal goods or services, payday lending, cannabis sales where prohibited, sexually explicit content, or any content barred by Twilio's Acceptable Use Policy.
  • Honest identification. Outbound calls and messages must identify the business calling and not spoof, mask, or impersonate another caller.
  • Indemnification for calling activity. You will indemnify Let's Chat for claims, fines, or losses arising from your failure to obtain required consent, your violation of telecom rules, or any prohibited content sent through the service on your behalf. See Section 10.

The AI receptionist is a tool. It is not a licensed professional, not a medical provider, not a lawyer, and not a financial advisor. Information it provides to callers is general and may be wrong. You agree to use it within scope and not represent its output as professional advice.

7. Site uptime, support, and changes

We aim for high uptime but do not promise the site or any service will be uninterrupted or error-free. Maintenance, upstream outages (Vercel, Twilio, payment processor), and force majeure events can cause downtime. We are not liable for those interruptions, but we will work in good faith to restore service promptly.

Support is provided by David Russell via email and text during reasonable US business hours (Eastern time). Response targets are stated in your Order, if any; otherwise we aim to respond within one business day.

We may change features, integrations, or supported third-party vendors over time. If a change materially reduces the value of the service you are paying for, we will notify you and, where appropriate, offer a credit or refund of the prepaid balance for the affected period.

8. Third-party services

Our service depends on third-party providers (Vercel, Twilio, Cal.com, Google Workspace, GitHub, plus practice-management systems like Dentrix, Eaglesoft, and NexHealth depending on the customer). Their terms and pricing apply to you separately when you use their services. Their outages or policy changes are outside our control, and we are not liable for them.

9. Disclaimers

The site and our services are provided "as is" and "as available." To the maximum extent permitted by law, Let's Chat disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and any warranty of uninterrupted or error-free operation. No advice or information, oral or written, obtained from us creates a warranty not expressly stated in these Terms.

We do not guarantee specific business outcomes (more bookings, higher revenue, particular ROI). Marketing results depend on many factors outside our control.

10. Limitation of liability

To the maximum extent permitted by law:

  • Let's Chat will not be liable for indirect, incidental, consequential, special, punitive, or exemplary damages, including lost profits, lost data, lost goodwill, or business interruption, even if we have been advised of the possibility.
  • Our total aggregate liability arising out of or relating to these Terms or the services, regardless of legal theory, will not exceed the greater of (a) the amount you paid Let's Chat in the twelve months immediately before the event giving rise to the claim, or (b) one hundred US dollars (US$100).

Some jurisdictions do not allow these limits. In those jurisdictions, our liability is limited to the maximum extent permitted by law.

11. Indemnification

You will defend, indemnify, and hold Let's Chat harmless from and against any claim, loss, damage, fine, or expense (including reasonable attorneys' fees) arising from: (a) your breach of these Terms, (b) your violation of any law or third-party right, including TCPA / consumer-protection / telecom rules with respect to outbound calls or messages from your business, (c) the content you submit to us or instruct us to publish on your behalf, or (d) any claim that materials you provided to us infringe a third party's rights.

12. Termination

You may terminate your engagement at any time, subject to Section 4. We may terminate or suspend your access to the site or services immediately if you materially breach these Terms (including the calling-compliance obligations in Section 6) or if your account is more than 30 days delinquent.

On termination, the licenses we granted you end, except that you may keep using deliverables you have already paid for, on the business and domain the Order names, provided you remain current on any ongoing hosting or subscription fees required to keep those deliverables operational.

13. Governing law and disputes

These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws rules. The exclusive venue for any lawsuit arising from these Terms is a state or federal court located in Broward County, Florida, and you consent to personal jurisdiction there.

Before filing a lawsuit, both sides agree to attempt to resolve any dispute by good-faith email or phone discussion for at least 30 days.

14. Changes to these Terms

We may update these Terms. The "Last updated" date at the top will reflect the latest revision. If a change is material, we will surface it through email or on the site. Your continued use of the site or services after a change means you accept the updated Terms.

15. Miscellaneous

  • Entire agreement. These Terms, plus any Order you sign, plus the Privacy Policy, are the entire agreement between you and Let's Chat about the subject matter and replace any prior agreements.
  • No assignment. You may not assign these Terms or any of your rights or obligations without our written consent. We may assign these Terms in connection with a sale of the business or merger.
  • Severability. If a provision is held unenforceable, the rest of these Terms still applies.
  • No waiver. Our failure to enforce a provision is not a waiver of that provision.
  • Independent contractor. Let's Chat is an independent contractor, not your employee, partner, or agent (except for the limited service-provider role for telephony described in Section 6).
